The following terms and conditions (the "Agreement") govern all use of the Fuser website, application, and API (together, the "Service") provided to you by Fuser Technologies, Inc. ("Fuser," "we," "our," or "us"). The Service is subject to your (the "User") acceptance without modification of all of the terms and conditions contained herein.

BY USING OR ACCESSING ANY PART OF THE SERVICE, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN.

Fuser reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of this Agreement at any time. It is User's responsibility to check this Agreement periodically for changes. User's continued use of the Service following the posting of any changes to this Agreement constitutes acceptance of those changes. Notwithstanding the foregoing, if User is a paid subscriber to the Service (a "Paying Subscriber"), such changes will go into effect beginning with User's next subscription period. This Agreement is void where prohibited by law, and the right to access and use the Service is revoked in such jurisdictions.

SCOPE

The Service is a multimodal content creation and collaboration platform. The Service allows users to generate, create, organize, and share text, images, audio, video, 3D models, animations, and other creative content using AI-powered tools and traditional creative workflows.

AGE RESTRICTION

User certifies to Fuser that if User is an individual (i.e., not a corporation) User is at least 13 years of age (provided that, if User is located in a jurisdiction in which 13 is under the age of majority, then User represents he/she has the legal consent of a legal guardian to enter this Agreement). User also certifies that he/she is legally permitted to use the Service, and takes full responsibility for the selection and use of the Service. This Agreement is void where prohibited by law, and the right to access the Service is revoked in such jurisdictions.

LICENSE

Subject to the terms and conditions of this Agreement, User shall have a non-exclusive, non-transferable, non-sublicensable access to the Service from User's computer or mobile device solely for the purposes for which the Service is provided. This license is personal to User and User may use the Service for commercial purposes in accordance with your subscription plan, including using generated content in commercial projects.

FEES

If User is a Paying Subscriber, User will pay Fuser the service fees in accordance with its pricing policy posted at the Service ("Fees"). Fuser reserves the right to change the Fees and to institute new charges and Fees at the end of each subscription period. Unless otherwise set forth by Fuser, or agreed to by the parties in writing, all Fees will be charged in advance through our payment processors (such as Stripe).

Usage-Based Billing: Certain features may consume credits or tokens based on usage (e.g., AI generation requests, processing time, storage). Users are responsible for monitoring their usage and purchasing additional credits as needed.

Refunds: Fees are generally non-refundable. However, we may provide refunds in our sole discretion for unused subscription periods if requested via email to support@fuser.studio within 30 days of payment. Usage-based charges (credits/tokens) are non-refundable.

User shall be responsible for all taxes associated with User's use of the Service other than taxes based on Fuser's net income.

RESTRICTIONS

User shall not, nor permit anyone else to, directly or indirectly: (i) reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or underlying algorithms of all or any part of the Service (except that this restriction shall not apply to the limited extent restrictions on reverse engineering are prohibited by applicable local law); (ii) modify or create derivatives of any part of the Service; (iii) rent, lease, or use the Service for timesharing or service bureau purposes without explicit permission; (iv) remove or obscure any proprietary notices on the Service; (v) use the Service to generate content that violates applicable laws or these terms; (vi) attempt to circumvent usage limits, rate limits, or billing mechanisms.

As between the parties, Fuser shall own all title, ownership rights, and intellectual property rights in and to the Service, and any copies or portions thereof.

In the event User submits any information to the Service, User represents and warrants that User has the full right and authority to do so (without any infringement of, or conflict with, the rights of any third party).

DATA COLLECTION AND ACCESS

Data collection activities are subject to restriction by Fuser. Fuser reserves the right to impose limitations, including the complete denial of access, to any User or third party engaging in unauthorized data collection activities from the Service. Such activities may include but are not limited to:

API Calls: Unauthorized, excessive, or abusive use of Fuser's Application Programming Interface (API) beyond plan limits.

Scraping: Automated data scraping or crawling of content from the Service.

Bulk and Automated Downloads: Mass downloading or automated retrieval of content from any part of the Service without prior authorization.

The determination of what constitutes unauthorized, excessive, or abusive data collection practices will be made by Fuser, in our sole discretion.

SPECIAL PERMISSIONS: Fuser may grant special permissions for data collection activities on a case-by-case basis. If you wish to seek special permissions or inquire about data access rights, please contact us at support@fuser.studio.

USER CONTENT

The Service permits User to create, generate, upload, and organize text, images, audio, video, 3D models, animations, and other creative content ("User Submissions"). User understands that their User Submissions may be made accessible to other Service Users or the general public – all as authorized (or permitted) by User through privacy and sharing settings.

License Grant: By submitting User Submissions, or displaying, publishing, or otherwise posting any content on or through the Service, User hereby does and shall grant Fuser a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to reproduce, distribute, display, perform, and store such User Submissions solely in connection with providing the Service to User and other users. For clarity, the foregoing license grant to Fuser does not affect User's other ownership or license rights in User's User Submissions, including the right to grant additional licenses to the material in such User Submissions.

AI-Generated Content: Content generated using Fuser's AI tools is owned by the User who generated it, subject to the terms of the underlying AI providers and applicable law. Users are responsible for ensuring their use of AI-generated content complies with applicable laws and third-party rights.

User Responsibility: User shall be solely responsible for User's own User Submissions and the consequences of posting or publishing them. User agrees that Fuser has no liability with respect to any User Submissions, including, without limitation, User's own User Submissions, and User hereby irrevocably releases Fuser and its officers, directors, employees, agents, representatives and affiliates, from any and all liability arising out of or relating to User Submissions or any part thereof.

In connection with User's User Submissions, User affirms, represents, and warrants that: (i) User owns or has the necessary licenses, rights, consents, and permissions to use and authorize Fuser to use each and every element contained in such User Submissions and to enable inclusion and use of such User Submissions in the manner contemplated by the Service and this Agreement; (ii) User has the written consent, release, and/or permission of each and every identifiable individual person in the User Submissions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Submissions in the manner contemplated by the Service and this Agreement; (iii) the posting/publishing of User's User Submissions on or through the Service does not violate the privacy rights, publicity rights, intellectual property rights, contract rights, or any other rights of any person or entity.

Content Restrictions: In connection with User Submissions, User further agrees that User will not: (i) publish falsehoods or misrepresentations that could damage Fuser or any third party; (ii) submit material that is unlawful, obscene, lewd, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, excessively violent, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iii) post spam, advertisements, or excessive solicitations; (iv) impersonate another person; (v) submit material that is copyrighted, protected by trade secret or otherwise subject to third party intellectual property or proprietary rights, unless you are the owner of such rights or have permission from their rightful owner; (vi) submit material that is unsuitable for minors; (vii) use AI generation features to create content that violates the terms of service of underlying AI providers.

Fuser reserves the right to decide whether a User's Submission is inappropriate or violates this Agreement, and to reject, refuse to post, or remove any User Submissions. Fuser also reserves the right, in its sole discretion, to restrict, suspend or terminate User's access to all or any part of the Service at any time, for any or no reason, with or without prior notice.

APPLICATION CONTENT

User agrees that the Service contains content, information and materials specifically provided by Fuser or its partners and that such content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Except as expressly authorized by Fuser in writing, User shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from such content without permission.

MEMBER DISPUTES

User is solely responsible for their interactions with other Service users. Fuser reserves the right, but has no obligation, to monitor disputes between User and other Service users. If User has a dispute with one or more users of the Service, User shall and hereby does release Fuser (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

REGISTRATION; SECURITY

As a condition to using the Service, User may be required to register with Fuser and select a password and username ("Fuser User ID"). User shall provide Fuser with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of User's account. User may not (i) select or use as a Fuser User ID a name or trademark of another person or entity with the intent to impersonate that person/entity; or (ii) use as a Fuser User ID a name subject to any rights of a person other than User without appropriate authorization. Fuser reserves the right to refuse registration of, or cancel a Fuser User ID in its discretion. User shall be responsible for maintaining the confidentiality of User's Fuser password and other account information.

INDEMNIFICATION

User agrees to defend, indemnify, and hold harmless Fuser, its affiliates and each of their employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from User's: (i) access to or use of the Service; (ii) User Submissions; (iii) violation of any law or regulation; (iv) negligence or willful misconduct; or (v) violation of this Agreement.

WARRANTY DISCLAIMER

THE SERVICE AND ALL CONTENT IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. FUSER MAKES NO WARRANTY THAT (I) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, (II) THE RESULTS OF USING THE SERVICE WILL MEET USER'S REQUIREMENTS, (III) AI-GENERATED CONTENT WILL BE ACCURATE OR ERROR-FREE, OR (IV) THE SERVICE WILL BE AVAILABLE WITHOUT INTERRUPTION. THE FOREGOING DISCLAIMER SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

LIMITATION OF LIABILITY

IN NO EVENT SHALL FUSER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, VENDORS OR SUPPLIERS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL THEORY WITH RESPECT TO THE SERVICE FOR: (I) ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, EVEN IF FORESEEABLE; (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION); OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) THE GREATER OF $100.00 (U.S.) OR THE FEES PAID BY USER TO FUSER IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

TERMINATION

Fuser may terminate User's access to the Service at any time, with or without cause. Upon termination, User will no longer access (or attempt to access) the Service. After termination, Fuser will handle User data in accordance with our Privacy Policy. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers and limitations of liability.

DIGITAL MILLENNIUM COPYRIGHT ACT

If you believe that Content residing or accessible on or through the Service infringes a copyright, please send a notice of copyright infringement containing the following information to dmca@fuser.studio:

Identification of the work or material being infringed
Identification of the material that is claimed to be infringing, including its location, with sufficient detail so that Fuser can find and verify it
Contact information for the notifying party, including name, address, telephone number, and email address
A statement that the notifying party has a good faith belief that the material is not authorized by the copyright owner, its agent, or law
A statement made under penalty of perjury that the information provided in the notice is accurate and that the notifying party is authorized to make the complaint on behalf of the copyright owner
A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed

MISCELLANEOUS

The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. This Agreement is not assignable, transferable or sublicensable by User except with Fuser's prior written consent. Fuser may transfer, assign or delegate this Agreement and its rights and obligations without consent.

This Agreement shall be governed by and construed in accordance with the laws of the state of California, and the parties submit to the exclusive jurisdiction and venue of the state and Federal courts located in California. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement.
